This User Agreement ("Agreement") is a legal contract between you ("User") and Derysa ("we," "us," or "our") governing your use of the Derysa mobile application, website, and related services (the "Service"). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, you may not use the Service.
1.1 You are solely responsible for all content you create, share, or transmit through the Service ("Your Content"). You agree that Your Content will not:
- Be unlawful, harmful, threatening, abusive, harassing, defamatory, or hateful.
- Infringe upon the intellectual property, privacy, or other rights of any third party.
- Promote violence, discrimination, or illegal activities.
- Contain political campaigning, solicitation for donations, or commercial advertising without our prior written consent.
- Misrepresent your relationship with Derysa or imply our endorsement.
1.2 We reserve the right, but are not obligated, to monitor, review, or remove any content at our sole discretion. We may take action, including suspending or terminating your account, if we determine you have violated these guidelines.
2.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
2.2 We do not guarantee that the Service will be uninterrupted, secure, error-free, or meet your specific requirements. You use the Service at your own risk.
2.3 The Service may contain links to third-party websites or services. We do not endorse and are not responsible for the content or practices of any third-party sites. Your interactions with third parties are solely between you and them.
3.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DERYSA, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
3.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THIS AGREEMENT OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
3.3 Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Derysa and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content; (c) your violation of this Agreement; or (d) your violation of any third-party right.
5.1 Entire Agreement: This Agreement, together with our Privacy Policy and any other legal notices published by us, constitutes the entire agreement between you and Derysa regarding the Service.
5.2 Modifications: We may modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement within the Service and updating the "Effective Date." Your continued use after such changes constitutes acceptance of the new terms.
5.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
5.4 No Waiver: Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
5.5 Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
5.6 Governing Law & Dispute Resolution: This Agreement shall be governed by the laws of [Insert Governing Jurisdiction, e.g., the State of Delaware], without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located within [Insert Jurisdiction].
